Terms of Service
These terms govern your use of techstruction.co and of software The Techstruction Company (“Techstruction”, “we”, “us”) operates for you. By using the site or our software, you agree to them. If you do not agree, please do not use them.
Techstruction is a sole proprietorship based in California, United States.
What we do
We provide consulting and software services: assessments of a business’s systems and AI spend, and the design, construction and operation of AI operations gateways that connect an assistant to systems a business already uses, such as customer records, email, calendar and finance tools.
Paid engagements are governed by a separate written agreement, proposal or statement of work between us. Where that agreement conflicts with these terms, that agreement controls.
Using this site
You may read this site and contact us through it. You may not:
- Use it unlawfully, or to send unlawful, abusive or deliberately misleading content.
- Attempt to gain unauthorised access to it or to any system it connects to.
- Interfere with its operation, including by automated scraping or flooding that degrades it for others.
- Submit someone else’s personal information through the contact form without their permission.
We may decline service, block access, or remove content at our discretion, particularly in response to abuse.
Accounts you connect
Where our software connects to an account you control, such as a Google account, you are responsible for having the authority to connect it and for the accuracy of what you authorise. You may disconnect at any time. What we do with data reached through those connections is set out in our Privacy Policy, which forms part of these terms.
Third-party services
Our work commonly integrates services operated by others, such as Google, messaging platforms and cloud providers. Those services are governed by their own terms, and we do not control them. We are not responsible for their availability, their changes, or their decisions about your account. Where a provider withdraws or changes a capability we relied on, we will tell you and propose an alternative.
Intellectual property
The content, design and code of this site belong to Techstruction. Ownership of work produced under a paid engagement is set by that engagement’s written agreement. Absent other terms, you own your data and the deliverables you paid for; we retain ownership of our pre-existing tools, methods and know-how, including anything of general application we developed before or independently of your engagement.
Fees
Fees, scope and payment schedules are set in the applicable proposal or statement of work. Prices published on this site are indicative starting points and are not an offer capable of acceptance until confirmed in writing.
No warranty
This site and any software provided outside a written engagement are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the site will be uninterrupted or error free.
Nothing on this site is legal, financial, tax or investment advice. Automated systems can fail or produce incorrect output. Decisions with financial or legal consequences remain yours, and should be reviewed by a qualified professional.
Limitation of liability
To the fullest extent permitted by law, Techstruction is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from your use of this site or our services. Our total liability for any claim relating to a paid engagement is limited to the fees you paid us for that engagement in the twelve months before the claim arose. For use of this site alone, where no fees were paid, our total liability is limited to one hundred United States dollars.
Some jurisdictions do not allow certain limitations, in which case those limitations apply only as far as the law allows.
Indemnity
You agree to indemnify Techstruction against claims arising from your unlawful use of the site, your breach of these terms, or your infringement of someone else’s rights.
Termination
You may stop using the site at any time. We may suspend or end access to the site or to non-contracted software at any time. Termination of a paid engagement is governed by that engagement’s agreement.
Changes to these terms
We may update these terms. The effective date at the top of the page will change when we do. Continuing to use the site after an update means you accept the revised terms. Changes affecting an active engagement will be communicated directly.
Governing law
These terms are governed by the laws of the State of California, United States, without regard to its conflict of law rules. The state and federal courts located in California have exclusive jurisdiction over any dispute, and you consent to their jurisdiction. Before filing, both parties agree to attempt to resolve the dispute in good faith by direct discussion.
